General Terms and Conditions (GTC)

EWS European Welding Service GmbH

Status: January 2025

1. Scope

These terms apply to all contracts, deliveries, and services of EWS European Welding Service GmbH, Dinnendahlstraße 24–26, 47533 Kleve. Conflicting terms shall only apply if expressly accepted in writing.

2. Conclusion of Contract

Our offers are non-binding. A contract is concluded upon written confirmation or delivery. Technical improvements are subject to change.

3. Prices and Payment

Prices are net plus VAT. Payment is due within 14 days. In case of default, we charge interest and €10 per reminder.

4. Delivery

Delivery dates are non-binding. In cases of force majeure, we may extend deadlines or withdraw. Partial deliveries are allowed.

5. Transfer of Risk and Shipping

Risk transfers to the customer upon handover to the carrier. Shipment is at the customer’s risk and cost.

6. Retention of Title

Goods remain our property until full payment is received.

7. Warranty

In case of defects, we will provide repair or replacement. Further claims only in accordance with legal provisions.

8. Liability

We are fully liable for intent and gross negligence. For minor negligence, liability is limited to essential obligations.

9. Technical Products

We reserve the right to make technical improvements. Customer is obliged to use the products properly.

10. Returns and Exchanges

Returns require prior approval. Custom-made items (e.g., special lengths, marked goods) are non-returnable.

11. Packaging

Packaging becomes the customer’s property. Returns only upon agreement and may incur a fee.

12. International Deliveries

Customer is responsible for compliance with import laws, duties, and taxes.

13. Confidentiality

All technical documents remain the intellectual property of EWS and may not be shared without consent.

14. Data Protection

Personal data is processed in accordance with legal requirements. See our privacy policy at www.ewsgmbh.com.

15. Final Provisions

German law applies. Place of jurisdiction is Kleve. Invalid provisions do not affect the validity of the remaining terms.
